Caladan has traded digital assets since 2017 as a proprietary group and liquidity provider. On 7 October 2026 its Cayman Islands entity, CLDN Cayman Ltd, became a Registered Person under the Securities Investment Business Act (SIBA) with the Cayman Islands Monetary Authority. The registration is a compliance step for a firm that has built most of its business around institutional counterparties.
A SIBA registration places the entity inside a supervised securities framework. For a derivatives and liquidity business, that classification changes how other firms can deal with it. Margin terms, trade eligibility, and reporting duties often depend on how a counterparty is classified. A Cayman entity sitting inside a recognized framework gives prime brokers, fund administrators, and institutional clients a cleaner basis to onboard the firm than a purely bilateral relationship would.
Counterparty classification has concrete operational effects. Prime brokers and fund administrators set margin levels, approve products, and handle reporting based on the status of the entity they face. A trading firm that books derivatives through a recognized entity starts those conversations from a different position than one that does not. Caladan trades as principal and provides liquidity, so this status bears directly on which counterparties will onboard it.
What the status covers, and what it does not
The registration is a foundation, not a finished product approval. Caladan’s announcement states that no group company is licensed by the Monetary Authority of Singapore, and that any dealing in Singapore is limited to institutional, expert, and accredited investors. The registration does not open a door to retail customers. Future activities remain subject to the entity’s permitted scope, counterparty eligibility, and any further licensing or registration requirements.
Caladan said it plans to develop its institutional derivatives business through the Cayman entity and to explore liquidity provision and market-making in tokenized real-world assets, including financial instruments that fall within the securities investment business framework. Those plans still depend on product approvals and on CIMA’s supervision.
Why the Cayman Islands
The choice of jurisdiction is practical. The Cayman Islands host a large share of offshore fund and structured-product activity, so a trading group that wants to work with institutional clients has a reason to establish a presence there. The Cayman framework for offshore investment vehicles can also shorten the review time institutional counterparties need to work with a firm. The registration likewise fits a wider pattern in which digital asset firms pair capital with regulatory expansion in established financial centers rather than operating only on a bilateral basis.
Watch for which products CLDN Cayman Ltd actually launches, whether Caladan adds registrations in other jurisdictions, and how CIMA’s supervision shapes what the Cayman unit can offer. For the moment, the registration shows the firm is building compliance rails for institutional derivatives and tokenized assets, and that none of it is aimed at retail.
